These Terms & Conditions govern your use of Miami, an AI answer engine that searches the web and your uploaded documents to produce cited answers. Miami is operated by ChiefOS Inc, a Delaware corporation ("ChiefOS", "we", "us"). By creating an account, purchasing a plan, or continuing to use the service you agree to these terms and enter into a contract with ChiefOS Inc.
1. Who may use Miami
You must be of legal age in your jurisdiction to use Miami. If you accept these terms on behalf of an organisation, you confirm you have authority to bind that organisation. You are responsible for keeping your account credentials confidential and for all activity under your account, and you agree to provide accurate account information and keep it current.
2. Licence and intellectual property
Subject to these terms, we grant you a limited, non-exclusive, non-transferable right to use Miami within the plan you have selected. ChiefOS Inc retains all ownership of the service and its intellectual property, including the software, models integration, interface, documentation and branding. You may not reverse engineer the service, resell or redistribute it, or circumvent technical or usage limits.
You keep ownership of the questions you ask and the documents you upload ("your content"). You grant us a limited licence to host and process your content solely to operate and provide the service to you.
3. Acceptable use
You must not misuse Miami. In particular, you must not:
- use the service unlawfully, or for fraud, spam or abuse;
- infringe the intellectual property or privacy rights of others;
- interfere with the security of the service — no malware, probing, scraping or unauthorised access attempts;
- generate illegal content, sexual content involving minors, deceptive deepfakes, harassment or hate speech, malware, or content that incites violence;
- attempt to jailbreak, bypass or manipulate safety filters, rate limits or credit metering;
- upload documents you do not have the rights to use.
4. AI outputs and accuracy
Miami produces answers using AI models and third-party search results. Outputs may be incomplete, out of date or wrong, even when citations are shown. You are responsible for your prompts, for verifying answers before relying on them, and for how you use the outputs. Miami is not a substitute for professional legal, medical, financial or other regulated advice, and must not be used for such purposes without qualified human oversight.
As between you and us, you own the outputs generated from your inputs, to the extent such rights can be granted. Outputs are generated statistically and may be similar for different users. If you believe content in Miami infringes your rights, contact us at Support@ask.miami and we will investigate and remove infringing material where appropriate. Repeat infringers will have their accounts terminated.
5. Content moderation
We may remove or restrict content, refuse or filter outputs, and suspend accounts where we reasonably believe these terms have been breached or where required to protect users, third parties or the service.
6. Plans, payment and billing
Paid plans and answer top-ups are described on our plans page. Subscriptions renew automatically each month until cancelled. Payment, billing, tax, invoicing, cancellation and refund mechanics are governed by Paddle's Buyer Terms. Our Refund Policy explains how to request a refund.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
7. Service availability
We work to keep Miami available, but we do not guarantee uninterrupted or error-free performance. The service depends on third-party AI and search providers and may be changed, limited or temporarily unavailable for maintenance or reasons beyond our control.
8. Suspension and termination
We may suspend or terminate your access for material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using Miami and delete your account at any time from your account page. When access ends, you may export your threads and documents for 30 days, after which your content may be deleted.
9. Warranties, liability and indemnity
To the fullest extent permitted by law, the service is provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose. We are not liable for indirect, consequential or special damages, including loss of profits, data or goodwill. Our aggregate liability is capped at the fees you paid in the 12 months before the claim. Nothing excludes liability for fraud, death or personal injury where that exclusion is not permitted by law.
You will indemnify ChiefOS Inc against claims arising from your content, your unlawful use of the service, or your breach of these terms.
10. General
These terms are governed by the laws of the State of Delaware, USA, and the courts located there have exclusive jurisdiction, without limiting mandatory consumer rights in your country of residence. You may not assign these terms without our consent; we may assign them in connection with a merger or acquisition. Neither party is liable for delays caused by events beyond its reasonable control. We may update these terms and will post the revised version here with a new date.
